簽署投資保障協定之目的，係締約雙方政府透過公權力保障，以降低投資人在地主國之政治風險，如外匯管制、徵收、國有化、沒收、戰爭、叛亂、暴動等風險。
協定之主要內容包括協定適用範圍、投資之促進與保護、投資待遇、徵收、戰爭、叛亂、暴動及損害賠償、投資資本及收益之匯出、投資爭端之解決、代位求償、協定之生效、效期及終止等項，並有周延之規範，對於進一步促進締約兩國經貿投資實質關係，有積極正面之意義。
投資待遇：締約任一方對於締約他方之投資者在在其領域內之各項投資，應給予不低於其給予本國國民或任何第三國投資者待遇。
徵收、戰爭、叛亂、暴動及損害賠償：締約任一方除為公共目的並給予補償外，不得採取徵收措施。締約一方投資者在締約他方投資，因締約他方發生戰爭、武裝衝突、革命、緊急狀態、叛亂、造反或暴動而遭受損失，相關投資者應獲得之有關償還、賠償或其他解決辦法、待遇，不得低於在相同情況下，締約他方給予本國國民或任何第三國投資者待遇。
投資資本及收益之匯出： 締約任一方之投資者有權自由匯出其資本及收益（資本收益、盈餘、利息、股息、特許使用費或其他收費均屬之）。
投資爭端之解決： 締約雙方政府有關本協定解釋或適用之爭議或締約一方有關當局與締約他方投資者間因投資所生之爭議，應由雙方協商解決，如果協商無法解決得交付國際仲裁。
締約一方之投資人，其投資經過締約他方核准後，締約他方承認締約一方得對於合於本協定所定之投資予以保證；於本協定所定之特定風險發生時，如締約一方政府或指定代理機構賠償該國投資人後，代位取得該投資人在締約他方所有之資產貨幣、債權或其他財產之權利。並取得因此等權利而產生之權利主張或提起訴訟之代位權。
有些對外投資廠商誤以為投資保障協定亦保障商業風險，事實上，投保協定係保障與政府公權力行使有關之政治風險。凡經本部投審會核准之對外投資案件，得向中國輸出入銀行辦理海外投資保險。於保險事故發生後，應立即以書面通知中國輸出入銀行，並於損失發生日起二個月後，向中國輸出入銀行辦理請求賠償手續。中國輸出入銀行原則上於被保險人依規定辦妥請求賠償手續後四個月內賠償，並由中國輸出入銀行取得代位求償權，向地主國求償，較投資人直接向地主國政府求償之途徑來得快速有效。故在投資人辦理海外投資政治風險保險之情況下，投保協定發揮之效用最大。
